Acceptable Use Policy
THIS ACCEPTABLE USE POLICY (“POLICY“) AND ANY ADDITIONAL LEGAL TERMS INCORPORATED HEREIN BY REFERENCE GOVERNS THE USE BY THE CLIENT THIS DOCUMENT WAS SUPPLIED TO (“YOU”, “YOUR”, “USER” OR THE “CLIENT“) OF ALL MATERIALS, INCLUDING BEST PRACTICES, PROMOTIONAL MATERIALS, WORKFLOWS, TEMPLATES AND OTHER DOCUMENTS (COLLECTIVELY, “MATERIALS“), MADE AVAILABLE BY BREITINGER CONSULTING LTD. (“WE”, “OUR”, “US”, OR THE “COMPANY”) TO CLIENTS, IN ITS ONLINE DATABASE (THE “VAULT”) OR OTHERWISE WITHIN THE FRAMEWORK OF ITS VARIOUS BUSINESS SUPPORT, WORKSHOPS AND COURSES.
The Materials are provided for your personal and internal business use. You are encouraged to utilise these Materials to enhance your understanding and implementation of industry best practices and to successfully manage and grow your own business. For example, you may and, in fact, we hope you do, use these templates, samples and additional resources, for your own business purposes – to market to and engage with clients, to incorporate in your marketing strategies, to use in the framework of your engagements with various service providers, etc.
You may not sell, redistribute, reproduce, or transfer any of the Materials to third parties without Company’s prior written consent. For example, you may not use these Materials to resell them to third parties, either in their original or modified format, or to otherwise share them with other individuals, businesses and service providers.
Any modified or derivative works of the Materials must clearly acknowledge the source of the original material. In addition, you must clearly state that the modified materials are your own and are not endorsed or produced by the BREITINGER CONSULTING LTD.
Ex: “This material has been modified by [Name of User’s Company], Based on materials originally provided by BREITINGER CONSULTING Ltd., under license. For the avoidance of doubt, it is not endorsed by, and does not represent the views or opinions of, BREITINGER CONSULTING LTD.“
Any modifications to the Materials should not negatively impact or detract from their original intent, message, or integrity. The modified materials should not misrepresent or harm the reputation of the BREITINGER CONSULTING LTD, or its brand.
The Materials may include the name, logo, and other trademarks of the Company (the “Marks”). Any use of the Marks in the modified materials must be done with respect and in a manner that maintains the integrity of the BREITINGER CONSULTING LTD brand.
Additionally, you acknowledge that the proprietary methods, processes, and logic used in the creation of the Materials are confidential and shall not be disclosed to third parties without the prior written consent of BREITINGER CONSULTING LTD. Any breach of this confidentiality will be considered a violation of this Acceptable Use Policy and may result in legal action.
THE MATERIALS AND/OR THE MARKS, TO THE EXTENT RELEVANT, ARE PROVIDED “AS IS” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. BREITINGER CONSULTING LTD DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF THE MATERIALS AND DISCLAIMS ALL LIABILITY FOR ANY ERRORS OR OMISSIONS IN THE MATERIALS. UNDER NO CIRCUMSTANCES WILL COMPANY BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE MATERIALS.
BREITINGER CONSULTING LTD reserves the right to cancel, modify or change this Policy from time to time in accordance with, among other things, its business needs or the law. The BREITINGER CONSULTING LTD will update the USER any time this Policy is substantially amended. Continued use of the MATERIAL AND VAULTS after such changes indicates your acceptance of the new Policy.
You agree that any use of the Marks and/or the Materials will be in compliance with all applicable laws and regulations.
In the event that the Client sells, transfers, or otherwise disposes of their business, the Client agrees that the Materials provided by BREITINGER CONSULTING LTD. shall not be used by any third party, including but not limited to any franchisee or successor entity, without the prior written consent of BREITINGER CONSULTING LTD. The Client further agrees that all rights to the Materials remain with BREITINGER CONSULTING LTD., and any use of the Materials by third parties without proper authorisation will constitute a breach of this agreement and infringement of BREITINGER CONSULTING LTD.'s intellectual property rights.
Furthermore, the Client agrees that upon the sale, transfer, or disposal of their business, any use of the Materials must adhere to the following conditions: the Materials shall not be altered, modified, or misrepresented in any manner that could negatively impact their original intent, quality, or integrity. The Client must ensure that all modified or derivative works of the Materials clearly acknowledge the source of the original material and state that such modifications are the Client's own and not endorsed by BREITINGER CONSULTING LTD. The Materials shall not be sold, redistributed, reproduced, or commercially exploited without prior written consent from BREITINGER CONSULTING LTD. Additionally, the Client agrees to prevent any unauthorised use of the Materials that could misrepresent or harm the reputation and brand of BREITINGER CONSULTING LTD. The Client acknowledges that any violation of these terms will be considered a breach of this agreement and may result in legal action.
By accessing and using the Materials and the Vault, you acknowledge that you have read, understood, and agree to abide by this Policy.
